MICHAEL J. BORDY

Mr. Bordy received his bachelors degree from Hamilton College (1974), his doctor of philosophy in cellular biology from the University of Kansas (1980), did postdoctoral work at The Johns Hopkins University School of Hygiene and Public Health (1980-83) and received his Juris Doctorate from University of Southern California (1986). While at USC, Mr. Bordy was a member of the University of Southern California Journal of Law and Environment and published an article, “Discerning Novel Treatment from Novelty,” in Cogitations on Law and Government. Mr. Bordy has been chair of the Real Estate Section of the Beverly Hills Bar Association (1998-2000) and has been a frequent speaker on leasing and financing issues in real estate law. Mr. Bordy brings his diverse background to counseling and providing legal services in the areas described below.

Real Estate:

  • Represented commercial office building development and management companies in negotiating and documenting real estate financing, loan work-outs, commercial leasing;
  • Advised, negotiated and documented the purchase and sale of residential and commercial real property;
  • Negotiated and documented sale and purchase of commercial real property in Section 1031 exchanges;
  • Advised developers and homeowners regarding land use and title issues; and
  • Advised, negotiated and documented construction contracts and architectural contracts.

 

Business:

  • Provided advice and documented choice of business organizations (e.g., corporations, partnerships, limited partnerships, and limited liability companies) for real estate, general business, computer software, Internet, entertainment, and health care business entities;
  • Negotiated and documented shareholders agreements, partnership agreements, limited partnership agreements, and operating agreements;
  • Negotiated and documented private placement memoranda private offering memoranda, subscription agreements, disclosure statements under Regulation D; and
  • Advised, negotiated and documented executive employment agreements, compensation and termination of highly compensated executives.

 

Intellectual Property:

  • Provided advice, negotiated and documented software and other intellectual property licensing agreements;
  • Negotiated and documented distribution agreements involving trademarks, copyrights and other intellectual properties; and
  • Negotiated and documented entertainment endorsement agreements.

 

Health Care:

  • Advised, negotiated and documented syndication of hospitals and related medical office buildings;
  • Negotiated and documented the sale of HMOs and advised general counsel to major HMO's management group dealing with various state regulatory agencies;
  • Advised and documented physician and physician medical group clients on choice of business entity; and
  • Advised physician and physician medical group clients on Medicare fraud and abuse issues in the context of leases, partnership agreements, employment agreements.

 

Environmental:

  • Represented landowners and lessees in compliance with CERCLA and SARA, California environmental laws; and
  • Advised, negotiated and documented environmental aspects of real estate transactions.
